What is ROC compliance?
The Registrar of Companies (ROC) maintains the official record of every company and LLP. Under the Companies Act, 2013 and the LLP Act, 2008, these entities must keep that record up to date by filing forms on the MCA portal every year and whenever certain events happen.
Annual compliance for a company includes holding board meetings and an annual general meeting, getting accounts audited, filing financial statements in Form AOC-4 and the annual return in Form MGT-7 or MGT-7A, and completing director KYC. LLPs file a statement of account and solvency in Form 8 and an annual return in Form 11.
Event-based compliance covers changes: appointing or removing a director, allotting shares, changing the registered office, increasing authorised capital, or altering the MOA or AOA. Each change has its own form and deadline.
Late filing attracts additional fees for each day of delay, and long non-compliance can lead to the company being struck off and directors being disqualified. Keeping a compliance calendar is the simplest way to avoid both.
Who needs ROC compliance?
ROC compliance applies to:
- Private Limited companies, including those with no business activity in the year
- One Person Companies (OPCs)
- Limited Liability Partnerships (LLPs)
- Section 8 companies and NGOs registered as companies
- Companies changing directors, shareholding, capital or registered office
- Companies or LLPs with pending past filings that need to be regularised

Which documents are needed for ROC filings?
These are the usual documents for annual filings:
| Document | Company | LLP |
|---|---|---|
| Financial statements | Audited balance sheet, P&L, notes and auditor’s report | Statement of account and solvency, audited if required |
| Reports | Directors’ report | Not applicable |
| Meetings | Notices and minutes of board meetings and AGM | Partners’ resolutions where required |
| Registers | Members, directors and charges registers | Partners and contribution details |
| KYC | Director KYC details and DSC | Designated partner KYC and DSC |
| Shareholding | Shareholding pattern and transfers during the year | Changes in contribution, if any |
How long does ROC compliance take?
Once financial statements are audited, annual forms can be filed within a few working days. These factors add time:
- Accounts or audit not completed
- Pending filings from earlier years that must be filed first
- Expired DSCs of directors or designated partners
- Changes during the year that were not filed at the time
From you, we need audited financial statements, valid DSCs, and signed minutes and resolutions when we send drafts. Book a consultation call to discuss your case.

Common ROC mistakes, penalties and due dates
- Assuming no business means no filing. Companies and LLPs must file annual forms even with no activity.
- Missing director KYC. Directors must complete KYC within the specified time; otherwise DIN is deactivated.
- Not filing changes on time. Director appointments and share allotments have their own short deadlines.
- Letting DSCs expire. Filings cannot be signed until DSCs are renewed.
- Ignoring past defaults. Additional fees grow daily; long defaults can lead to strike-off and director disqualification.
| Filing | Usual due date |
|---|---|
| AGM (company) | By 30 September after the financial year |
| AOC-4 (financial statements) | Within 30 days of the AGM |

| LLP Form 11 (annual return) | By 30 May |
| LLP Form 8 (accounts and solvency) | By 30 October |
