What is company registration?
Registering a company means incorporating your business under company law, so it exists as a legal person separate from its owners. The company can own property, sign contracts, borrow and be sued in its own name, and the owners’ liability is generally limited to the capital they put in.
A Private Limited Company is incorporated on the MCA portal using the SPICe+ form, which bundles the name application, incorporation, DIN for directors, PAN, TAN, and registrations for GST, EPFO and ESIC where applicable. The Memorandum and Articles of Association set out what the company does and how it is run.
A Limited Liability Partnership (LLP) is registered through the FiLLiP form and is governed by an LLP agreement filed after incorporation. A One Person Company (OPC) lets a single founder enjoy limited liability with a nominee named in the documents.
Incorporation is the start, not the end. Every company and LLP has annual filings and event-based compliance from the first year, so the structure you choose should match the compliance you are ready to handle.
Who should register a company or LLP?
Registering a company or LLP makes sense if any of these apply to you:
- You plan to raise investment from angel investors or venture funds (usually a Private Limited Company)
- You want limited liability so personal assets are protected from business debts
- You are bidding for corporate or government contracts that prefer registered entities
- You want to apply for DPIIT startup recognition and related benefits
- Two or more professionals want a flexible structure with limited liability (often an LLP)
- A single founder wants a company without a second shareholder (OPC)

Which documents are required for company registration?
Requirements vary slightly for foreign nationals and corporate shareholders. These are the usual documents:
| Document | Directors / partners | Registered office |
|---|---|---|
| Identity | PAN card and Aadhaar of each director or partner | Not applicable |
| Address proof | Recent bank statement, electricity bill or mobile bill | Electricity, gas or water bill not older than two months |
| Photograph | Passport-size photo of each director or partner | Not applicable |
| Ownership or rent | Not applicable | Rent agreement or ownership proof |
| Owner consent | Not applicable | No-objection certificate from the property owner |
| Contact details | Personal email and mobile of each director | Not applicable |
How long does company registration take?
Most Private Limited and LLP registrations are completed in 7–15 working days. These factors add time:
- Name rejection, which needs a fresh application with new options
- Directors without an existing DIN, or foreign directors needing apostilled documents
- Mismatched details between PAN, Aadhaar and address proof
- MCA processing backlogs and resubmission requests
From you, we need scans of each director’s documents, office address proof with the owner’s NOC, and prompt signatures when the drafts are ready. Book a consultation call to discuss your case.

- Choosing a name without a trademark check. A name approved by MCA can still conflict with a registered trademark.
- Using a home address without proper NOC. The registered office must have valid proof and owner consent.
- Missing commencement of business filing. Companies must file a declaration of commencement of business within 180 days of incorporation.
- Not appointing the first auditor. The first auditor must be appointed within 30 days of incorporation.
- Delaying the LLP agreement. The LLP agreement must be filed within 30 days of incorporation; late filing attracts additional fees per day.
| Requirement | Usual timeline |
